Terms of service

These Terms of service are an agreement between you and PaperTight. Please read them carefully — they explain your rights and responsibilities when you use the Services.

Here are some important definitions used throughout these terms:

  • PaperTight, “we,” “us,” “our” — the company that provides the Services.
  • Website — papertight.com and its related pages.
  • Services — the PaperTight document-control application, including any related APIs.
  • Workspace — the isolated tenant space where a customer’s projects, companies, packages, and documents live.

Your use of the Services is also subject to our Privacy policy, which explains how we handle your information.

1. Acceptance of terms

These Terms of Service govern your access to and use of PaperTight. By creating an account, accessing a Workspace, or otherwise using the Services, you agree to be bound by these terms. If you are agreeing on behalf of a company, you represent that you are authorized to bind that company.

If you do not agree to these terms, do not use the Services.

2. The Services

PaperTight is a document-control workflow layer for teams that manage recurring document sets across their subcontractors and vendors. The Services help you organize, track, review, and approve those documents.

Core objects. You work in a Workspace that contains projects, companies, and packages. A package is a recurring document set for a company and period; each package holds document slots — the individual required files, each with allowed file types, a required flag, and a status such as missing, submitted, approved, or rejected.

Reviews and portal. Your team reviews and approves submitted documents, and you can invite client-portal users so the companies you work with can submit and track their own documents. We may update, add, or remove features over time as described in these terms.

3. Accounts and workspace roles

Roles. A Workspace has admins who manage settings and members, staff who do the day-to-day document work, and client-portal users who belong to a specific company and see only that company’s documents.

Your credentials. You are responsible for the activity that happens under your account and for keeping your login credentials confidential. Notify us promptly if you believe your account has been accessed without authorization.

Accurate information. You agree to provide accurate account information and to keep it up to date.

4. Subscriptions, trials and billing

Free trial. New Workspaces may start with a 3-day free trial. Unless you subscribe before the trial ends, your access to paid features may be limited or paused.

Recurring billing. Paid subscriptions are billed in advance on a recurring basis through our payment provider, and they renew automatically for the same term until cancelled.

Plan changes. When you change plans, the change takes effect immediately and your billing is adjusted accordingly. See our current plans on the pricing page.

Cancellation. You can cancel at any time. Cancellation stops the next renewal; your subscription remains active through the end of the period you have already paid for, and we do not provide refunds except where required by law.

5. Customer content

You own your documents. The documents and data you upload to your Workspace remain yours. We claim no ownership of your customer content.

Licence to us. You grant PaperTight a limited, non-exclusive licence to host, store, process, and transmit your content solely as needed to provide and improve the Services for you. This licence ends when your content is deleted from the Services.

Your responsibility. You are responsible for having the rights and permissions necessary to upload and process the documents you place in your Workspace, and for ensuring that doing so complies with applicable law.

6. Acceptable use

When using the Services, you agree not to:

  • Upload or share unlawful, infringing, or malicious content.
  • Abuse, disrupt, or attempt to gain unauthorized access to the Services or other users’ data.
  • Reverse engineer, decompile, or attempt to extract the source code of the Services, except where permitted by law.
  • Resell, sublicense, or provide the Services to third parties except under a separate written agreement with us.
  • Use the Services to send spam or to violate the privacy or rights of others.

7. Client portal access

Owner responsibility. The Workspace and its admins are responsible for the client-portal users they invite, including which companies those users belong to and what they are permitted to do.

Scoped visibility. Client-portal users can only see and act on the documents of their own company within the Workspace. They cannot access other companies’ documents or Workspace administration.

8. Intellectual property

The Services, including the software, design, and PaperTight name and marks, are owned by PaperTight and protected by intellectual-property laws. These terms do not grant you any right in our intellectual property except the limited right to use the Services as described here.

If you send us feedback or suggestions, you grant us the right to use them without restriction or obligation to you.

9. Confidentiality

Each party may receive information from the other that is confidential. The receiving party agrees to protect that information with reasonable care and to use it only to exercise its rights and meet its obligations under these terms.

This obligation does not apply to information that is public through no fault of the receiving party, was already known to it, or is required to be disclosed by law.

10. Termination and data export

Ending the Services. You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these terms or use the Services in a way that risks harm to us or others.

Export window. After termination, we provide a limited window during which you can export your documents and data. After that window closes, your content is deleted from the Services in the ordinary course, subject to any legal retention requirements.

11. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, PaperTight disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You are responsible for maintaining your own copies of critical documents.

12. Limitation of liability

To the fullest extent permitted by law, PaperTight will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.

Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the twelve months before the event giving rise to the claim.

13. Changes to the Services or terms

We may modify the Services over time to improve them, and we may update these terms from time to time. When we make material changes to these terms, we will update the effective date above and, where appropriate, notify you through the Services or by email.

Your continued use of the Services after an update takes effect means you accept the revised terms.

14. Governing law

These terms are governed by the laws applicable in the jurisdiction in which PaperTight is established, without regard to its conflict-of-laws rules. You agree that the courts of the jurisdiction in which PaperTight is established will have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Services.
